Assets of the joint investment institution are a sum total of property, corporate rights and requirements, formed due to the funds of the joint investment.
Asset management company is economic society which carries out professional activity on the asset management of the joint investment institution on the basis of the license, issued by the State Commission of securities and stock market.
Buy-out of securities of the joint investment institution - payment by an issuer to the investor a cost of the part of net assets of the joint investment institution proportionally to the amount of securities of the joint investment institution, belonging to the investor, with cessation of the property right of investor on these securities.
Delisting is a procedure of exception of securities from the register of organizer of trade, if they do not correspond to the rules of organizer of trade, with a further cessation of their turn at the organizer of trade or transfer to the category of securities, admitted to a turn without the inclusion into the register of organizer of trade.
Dividend is a payment, which is carried out by a legal entity - issuer of corporate rights or investment certificates in favour of the proprietor of such corporate rights (investment certificates) because of distributing of a part of profits of such issuer, calculated according to the rules of business accounting.
Emission is a sequence of actions of an issuer as to the issue and placing of emission securities, set by the legislation.
First holder is a person who has received securities in a property directly from an issuer (or from a person, who issued security) or underwriter during placing of securities.
International identification number of securities is a number (code) which allows to uniquely identify securities or the other financial instrument and appropriation of which is provided by the Ukrainian legislation.
Issue of securities is a sum total of a certain type of emission securities of one issuer, having the same nominal value, which have the same form of issue and international identification number, giving their holders the same rights regardless of time of acquisition and placing in the stock market.
Issuer is a legal entity, Autonomous Republic of Crimea or city councils, as well as the state in the person of public authorities authorized by it, and which on its own behalf places emission securities and undertakes obligation regarding them before their holders.
Investors of securities are individual persons and legal entities, residents and non-residents, who acquired property right on securities with the purpose of getting income from the invested money and/or acquisition of the proper rights, which are given to a holder of securities according to the legislation. Institutional investors are as follows: the joint investment institutions (unit and corporate investment funds), investment funds, joint funds of investment companies, non-governmental pension funds, insurance companies, other financial institutions which carry out operations with financial assets in interests of the third persons at the own expense or at the expense of these persons, and in cases, provided by the legislation, - also at the expense of attracted financial assets from the other persons with the purpose of getting an income or saving of the actual cost of financial assets.
Investment declaration is a document, that is a component part of regulation of the joint investment institution and addition to the contract with the asset management company, where the basic directions and limitations of investment activity of the joint investment institution are defined.
Investment certificate is a security, issued by the asset management company of unit investment fund and certifies the property right of investor on share in unit investment fund.
Joint investment institution is a corporate investment fund or unit investment fund, which carries out the activity, concerned with unification (attraction) of moneys of investors with the purpose of getting an income from investment of them in securities of the other issuers, corporate rights and real estate.
Listing – a sum total of procedures on the inclusion of securities to the register of organizer of trade and control for compliance of securities and an issuer with the terms and requirements, set in the rules of organizer of trade.
Moneys of the joint investment are money, attracted from investors of the joint investment institution, profits from realization of operations with assets of the joint investment institution and profits charged extra for assets of the joint investment institution.
Net asset value of the joint investment institution is a value, determined as a difference between the sum of assets of the joint investment institution, taking into account their market value and size of obligations of the joint investment institution.
Open sale is alienation of securities to the persons, circle of which has been previously defined. Any alienation of securities with the use of public offer is considered to be the open sale.
Offering circular of emission of securities is a document containing an information on the open (public) placing of securities.
Public subscription is placing of securities by the open sale.
Private placing - placing of securities without the open sale by a direct offer of securities to previously defined circle of persons.
Public offer is an announcement on the open sale of securities, made in mass media or by other means and addressed to the indefinite amount of persons.
Proclaimed securities of the joint investment institution are securities of the joint investment institution, for which the open subscription is offered.
Professional participants of the stock market are legal entities, which on the basis of the license, issued by the State Commission of securities and stock market, carry out professional activity in the stock market, types of which are defined by the laws of Ukraine.
Placing of securities is alienation of securities by an issuer or underwriter by means of conclusion of a civil legal contract with the first holder.
Participants of the stock market are issuers, investors, self-regulating organizations and professional participants of the stock market.
Quotation is a mechanism of determining and/or fixing of the market value of security.
Regulation of the joint investment institution is a document which determines the features of activity of the joint investment institution.
Saver is a commercial bank or stockjobber, who has a license for saving and servicing of turn of securities and operations of an issuer with securities on accounts in securities, both as to those securities, belong to it, and those, it saves under the contract on opening of account in securities; at the same time a saver can not keep the register of holders of securities, concerning which it implements the contracts.
Stock market (equity market) is a sum total of participants of the stock market and legal relationships between them as to the placing, turn and account of securities and derived ones (derivatives).
A stock market is divided into the primary and secondary one.
The primary equity market is a sum total of legal relationships concerned with placing of securities.
The secondary equity market is a sum total of legal relationships concerned with a turn of securities.
Securities are the documents of the set form with proper requisites, which certify money or other property rights, define relationship of the person, who has placed (issued) them, and the holder, and provide for implementation of the obligations, pursuant to the terms of their placing, as well as possibility of assignment of rights, proceeding from these documents, to the other persons.
Securities of the joint investment institution are actions of corporate investment fund and investment certificates of unit investment fund.
Turn of securities is a carrying out of legal actions, concerned with a transfer of property rights on securities and rights for securities, except for the contracts, concluded during placing of securities.
